Terms of Service.

These Terms of Service ("Terms") govern your access to and use of ShowRev, Inc.'s platform, websites, and services (the "Services"). By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you agree on its behalf.

1. Accounts

You must provide accurate information and keep your account secure. You are responsible for activity under your account and for maintaining the confidentiality of your credentials. You must be at least 16 years old (or the age of majority where you live) to use the Services.

2. Creators & what you sell

• As a creator, you are responsible for the products, events, media, and content you sell, and for fulfilling orders and honoring the promises you make to buyers.
• You must have the rights to everything you upload or sell, and you must comply with applicable laws and these Terms.
• You set your prices; ShowRev's platform fees and applicable payment processing fees are deducted as described at signup and in your dashboard.

3. Buyers & purchases

When you buy from a creator through ShowRev, your purchase is a transaction with that creator. The creator is responsible for delivering what you bought. Refund and cancellation terms may vary by creator and product, subject to the dispute and refund handling described below.

4. Payments, payouts & fees

• Payments are processed through Stripe, including Stripe Connect. By using the Services you also agree to Stripe's applicable terms.
• ShowRev may collect funds and remit payouts to creators on a scheduled basis, which can include holds, reserves, and staggered release to manage risk, refunds, and chargebacks.
• Chargebacks and refunds may be debited from a creator's balance or future payouts. Repeated disputes or abuse may result in additional holds, reserves, restriction, or removal.
• Fees are non-refundable except as required by law or expressly stated.

5. Acceptable use

You agree not to use the Services to:

• Break the law, infringe others' rights, or sell prohibited or fraudulent goods.
• Upload malware, attempt to disrupt or gain unauthorized access to the Services, or circumvent security or fees.
• Engage in fraud, money laundering, deceptive practices, or abusive chargeback behavior.
• Harass others or post unlawful, hateful, or infringing content.

6. Content & intellectual property

You retain ownership of the content you upload. You grant ShowRev a limited license to host, process, and display that content as needed to operate the Services. The ShowRev name, platform, and software remain our property. You may not copy, resell, or reverse-engineer the Services.

7. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or for prolonged inactivity. On termination, certain provisions (including payment, liability, and dispute terms) survive, and we may settle outstanding obligations from held funds or reserves.

8. Disclaimers

The Services are provided "as is" without warranties of any kind, to the maximum extent permitted by law. We do not guarantee uninterrupted or error-free operation, or any particular sales or results.

9. Limitation of liability

To the maximum extent permitted by law, ShowRev will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim relating to the Services is limited to the amounts you paid us in the 12 months before the claim.

10. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Continued use of the Services after changes take effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, unless your local law requires otherwise.
